THESE TERMS AND CONDITIONS (“AGREEMENT”) GOVERN ACCESS TO AND USE OF SOCIAL PROGRESS IMPERATIVE’S PUBLIC OR PREMIUM TOOLS, SUBSCRIPTIONS AND RELATED CONTENT INCLUDING BUT NOT LIMITED TO THE GLOBAL SOCIAL PROGRESS INDEX, THE US SOCIAL PROGRESS MAP, THE SOCIAL PROGRESS INDEX TIME SERIES, AND THE JUST TRANSITION SCORE (“ PUBLIC OR PREMIUM TOOLS”). PUBLIC OR PREMIUM TOOLS MAY BE PROVIDED BY SOCIAL PROGRESS IMPERATIVE TO SPONSORS AND SUPPORTERS OR VIA OUR PUBLIC COMMUNICATION CHANNELS (THE “USER”).

BY ACCESSING, DOWNLOADING, INSTALLING OR OTHERWISE USING THE PUBLIC AND PREMIUM TOOL(S) IN ANY WAY, THE USER AGREES TO BE BOUND BY THIS AGREEMENT IN ITS ENTIRETY. IF YOU DO NOT AGREE, IMMEDIATELY CEASE USE OF THE TOOL(S) AND DESTROY ALL COPIES OF THE TOOL(S) AND RELATED MATERIAL IN YOUR POSSESSION. 

  1. Public Tools. Public Tools include freely available products developed and maintained by Social Progress Imperative, as well as those built in partnership with other organizations. These partnered Public Tools may include other versions such as the Brazil Social Progress Index for Brazil and similar initiatives. Unless otherwise stated in writing by the Social Progress Imperative or one of the direct co-developing partners, these Terms and Conditions apply to all Public Tools. While Public Tools may be freely accessed, their use is still subject to restrictions outlined in this Agreement.
  2. Premium Tools. Social Progress Imperative agrees to provide non-exclusive and non-transferable access to select Premium Tools to the User. This may include an online platform, related online documentation, data sets and any other files, as well as any upgrades, updates, bug fixes, additional products, or other modified versions of the Public and Premium Tool (collectively, “Updates”).
  3. Updates. Refers to any upgrades,  updates, bug fixes, additional products, or modified versions of the  Public Tools or Premium Tools.
  4. Restrictions on Use. Use of the Public or Premium Tools is subject to the following restrictions:
     
  1. Absolute Prohibited Usage. 
    1. The User may not publish or resell any aspect of the Public or Premium Tools provided under this Agreement or transfer or assign any of the rights or obligations granted under this Agreement to any other person or legal entity.
    2. Embedding & Republishing: The User may not embed, republish, or redistribute partial or full datasets from the Public or Premium Tools, whether in original or modified form, on websites, databases, platforms, or other public-facing media without prior written consent from the Social Progress Imperative. This includes direct reposting or mirroring of the data, especially when no additional analysis, insight, or value is added. Please contact us to explore licensing options.
    3. The User may not attempt to reverse engineer or derive source code or other trade secrets from the Public or Premium Tools to (a) build a competitive product or service, (b) build a product using similar ideas, features, functions or graphics, or (c) copy any ideas, features, functions or graphics.
    4. Access to the Premium Tools is assigned to individual users based on their unique email address and may not be shared with other users. For group access, contact us.
  2. No Derivative Works Without License. Users may not create derivative products based on the Public or Premium Tools or its datasets for any external purposes, including commercial or non-commercial projects, unless they have obtained a license from the Social Progress Imperative. Derived products mean any data, product or service offering that is derived from, incorporates or relies upon the Public or Premium Tools. Contact us to learn about our licensing options.

4. Permitted Uses. With the proper attribution given, you may use the Public or Premium Tools and its datasets for:

  1. Internal analysis within your organization or institution: Internal analysis refers to non-public, in-house uses such as strategy, research, or evaluation within the organization that has been granted access. It does not permit use in client deliverables, public reports, or external-facing content unless licensed.
  2. Public academic research such as peer-reviewed journal articles, academic theses, coursework and school projects with non-commercial purposes.
  3. Media use, including citing or referencing the tools or datasets in journalistic articles, podcasts, videos, or broadcasts, provided that such use does not involve republishing partial or full datasets or creating derivative commercial products. Attribution to Social Progress Imperative must be maintained.
  4. If you are unsure whether your intended use is permitted, or if you wish to obtain a license for commercial or public-facing works, please contact us.

5. Trial Access. If Social Progress Imperative has made available to Users a free, trial, or evaluation access to any of the Premium Tools and/or related materials (“Trial Access”), such access is limited to evaluating the product only. Customers may not use Trial Access for any other purposes, including but not limited to competitive analysis, commercial, professional, or for-profit purposes. Upon expiration of Trial Access access, the access to the Premium Tools will cease.

6. Ownership of the Data. The Public and Premium Tools, including without limitation any other copyright and intellectual property therein, are and will remain the exclusive property of Social Progress Imperative. Nothing contained in this Agreement will be deemed to transfer to the User any proprietary interest or other rights in the Public or Premium Tools, its dataset, or in any copyright, trademarks, patents, or other intellectual property of Social Progress Imperative, except to the extent expressly granted by this Agreement.

7. Disclaimer of Warranties. The Public and Premium Tools are provided “as is.” Social Progress Imperative assumes no responsibility for errors or omissions, data sets or related products, and makes no warranty expressed or implied, including without limitation of the merchantability, fitness for a particular purpose, or non-infringement.

8. Warrants and Representations. Social  Progress Imperative warrants and represents that it is the copyright  holder of the Tools and that granting access to the User does not violate any other agreement, copyright, or applicable statute.

9. Indemnification. The User will indemnify and hold harmless Social Progress Imperative, its officers, directors, employees, agents, and affiliates, from and against any and all claims, demands, suits, actions, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with a) any breach by the User of any provision of this Agreement; (b) the User's use of the Public or Premium Tool; and (c) any claim that the Public or Premium Tools are inaccurate or incomplete.

10. Access Terms of Premium Tools. Premium Tool access is granted on an individual basis and is valid for 12 months from the date of registration, unless otherwise specified in writing. If you wish to provide access to additional team members or colleagues, please contact us.

11. Attribution Requirement. Users must provide clear and visible attribution to the Social Progress Imperative, and link to the website homepage when possible, when referencing or citing any data, findings, charts, or analysis from the Public or Premium Tools in any permitted use.

12. Termination. This Agreement will be terminated and access to the Premium Tools forfeited where the User has failed to comply with any of the terms of this Agreement or is in breach of this Agreement. If this occurs, the User is not entitled to a refund of any donation or fee. Upon termination of this Agreement for any reason, the User will promptly destroy all copies of Premium Tools and related materials in their possession.

12. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of Washington D.C,, United States, without regard to its conflict of laws principles.
